Agreement to Terms
This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and MSP Essentials ("Company," "we," or "us") for the use of our software, services, and platform, including themachine AI automation platform and all related integrations (collectively, the "Service").
By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the Service.
License Grant
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
Restrictions
You agree not to:
Copy, modify, or distribute the Service
Reverse engineer, decompile, or disassemble any part of the Service
Rent, lease, lend, sell, or sublicense the Service
Use the Service for any unlawful purpose
Interfere with or disrupt the Service or servers
Attempt to gain unauthorized access to any part of the Service
Use the Service to transmit malware or malicious code
Use the Service in a manner that exceeds reasonable usage limits
Account Responsibilities
You are responsible for:
Maintaining the confidentiality of your account credentials
All activities that occur under your account
Ensuring your use complies with applicable laws and regulations
Providing accurate and complete information
Third-Party Integrations
The Service integrates with third-party platforms (QuickBooks, NinjaOne, Google Workspace, etc.). Your use of these integrations is subject to:
This Agreement
The terms and conditions of the third-party services
Your authorization of data access
We are not responsible for the availability, accuracy, or functionality of third-party services.
Data and Privacy
Your use of the Service is also governed by our Privacy Policy, available at https://mspessentials.com/privacy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.
Intellectual Property
The Service and its original content, features, and functionality are owned by MSP Essentials and are protected by copyright, trademark, and other intellectual property laws. Our trademarks may not be used without our prior written consent.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
The Service will be uninterrupted or error-free
Defects will be corrected
The Service is free of viruses or harmful components
The results from using the Service will meet your requirements
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MSP ESSENTIALS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify and hold harmless MSP Essentials, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
Your use of the Service
Your violation of this Agreement
Your violation of any rights of another party
Termination
We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of this Agreement. Upon termination:
Your license to use the Service ends immediately
You must cease all use of the Service
We may delete your account and data
Changes to This Agreement
We reserve the right to modify this Agreement at any time. We will provide notice of material changes by posting the updated Agreement and changing the effective date. Your continued use of the Service after changes constitutes acceptance of the modified Agreement.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions.
Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
Entire Agreement
This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and MSP Essentials regarding the Service and supersedes all prior agreements and understandings.
